BY-LAWS OF THE
FREE PUBLIC LIBRARY ASSOCIATION OF TENAFLY,
TENAFLY, N.J.

Article 1. NAME AND OBJECT.
Sec. 1. This organIzation shall be known as the Free Public Library Association of Tenafly.

Sec. 2. The object of this association shall be to establish and maintain a Free Public Library in Tenafly, to promote the study of literature and art and cultivate habits of reading, to encourage study, and to promote the desire for education, especiallY among the young people of the Borough, and in general to foster and encourage mental growth throughout the community.

Article II. MEMBERSHIP.
Sec. 1. Any person over eighteen years of age of good character shall be ell1g1ble to membership. After January 1st, 1910, names must be proposed at a meeting of tne Association by a member in good standing. A majority vote of the members present shall elect such candidate to membership.

Article III. DUES.
Sec. 1. Dues shall be $1.00 per annum, payable to the Treasurer of the Association in June of each year.

Sec. 2. Should the dues of any member remain unpaid for a period of six months, the executive committee shall notify such person. If dues

are not paid within one year, the executive committee shall have the power to drop such person from membership in the association.

Article IV. OFFICES AND THEIR ELECTION

Sec. 1. The officers of this association shall consist, of a President, a Vice President, a Secretary, and a Treasurer. There shall be an Executive Committee of seven members consisting of the four officers above mentioned, together with the Chairman of the Ways and Means Committee, the Chairman of the Library Committee, and the Chairman of the Advisory Board.

Sec. 2. There shall be three permanent committees as follows: An advisory Board, consisting of not less than nine members, a Ways and Means committee of five or more members, and a Library Committee of five or more members.

Sec. 3. The term of office of all officers and members and Chairman of Committees, shall be one year, or until their successors are chosen or appointed; excepting that. the term of officers or members chosen or appointed to fill a vacancy, shall expire on the same date as the member originally chosen for said office.

Sec. 4. The annual election of officers and of the AdVisory Board shall be
held at the annual meeting on the first Tuesday in May of each year. The Chairman of the Ways and Means committee and Library committee shall be appointed by the President of the Association in consultation with each Chairman whose membership is being appointed.

The Chairman of the Advisory Board shall be elected by the members of the said board. The Advisory Board shall meet for organization and for such other business as shall come before the Board within two weeks following the date of annual meeting— at such time and place as they may

Article V. DUTIES OF OFFICERS.
Sec. 1. The President of the Association shall preside at all meetings of
the Association, and shall exercise general supervision over its affairs and shall appoint the chairman and members of the various committees as above provided, and shall appoint such other committees as the Executive Committee deem necessary.

Sec. 2. In the absence of the President, all duties and powers of the President will devolve upon the Vice-President.

Sec. 3. The Secretary shall have general care of all correspondences of the Association, and shall keep a record of all proceedings, rules and regulations of the Association, and shall keep a record of the names and addresses of all members, and shall send notices to all members of all meetings of the Association.

Sec. 4. The treasurer shall collect all dues and shall be custodian of all funds of the Association, and shall pay all bills or the Association, but only when same are vouched for by two members of the Executive Committee.

Sec. 5. The Executive committee shall have general management and control
of all the business and affairs of the Association. All Meetings of the Executive Committee shall be presided over by the President of the Association. The meetings of the Executive Committee shall be called by the President of the Association at such time and place as the President shall consider advisable. At the written request of three or more members of the Executive Committee, stating reason for the call and time and place desired, the President shall call a special meeting of the
committee as petitioned by the members.

Sec. 6. The Ways and Means Committee shall have charge of ways and means of raising funds for the work of the Association. The Chairman of the Ways and Means committee shall appoint such sub-committees as seem necessary.

Sec. 7. The Library Committee shall act as custodian of all property belong to the Association or paid in care of the Ass’n. In particular, it shall have direct charge of the Library Building or Room which is occupied as a Library by the Association. It shall have direct charge of all books, magazines, papers, pamphlets, pictures, works of art., etc., and of all furniture, utensils, etc., belonging to or in charge of the Association while contained in said Library Building or Room. The Library committee shall nave power to employ and discharge help. They shall fix all compensations, expend the moneys of the Association as modified by sec.4, make such rules and regulations governing the care and use of Library building or Room as they deem proper, the same to be approved by the ExecUtive Committee. The Library Committee by and with the advice and consent of the Executive Committee, shall determine the location of the Library, shall decide as to what hour the library shall be opened to the public, and under what conditions, rules and restrictions books, papers, magazines, etc., may be used in the Library, or withdrawn from the Library. The Library Committee shall appoint. a Librarian and such assistant Librarians as may be necessary. It shall be the duty of the librarian to keep a careful record of all the property of the Association, to keep a record of the books, magazines, or other property loaned by the Association, to see that such loans are returned in accordance with the rules made by the Library Committee, and to notify the Library Committee of any loss or damage to the property of the Library as soon as same is discovered.

Sec. 8. The Advisory Board shall act tn an advisory capacitY to the officers
and comittees of the Association as called on. It shall also be their duty to audit the accounts of the Treasurer annuallY, or oftener, as they deem necessary.

ARTICLE VI. MEETlNGS.

Sec. 1. The annual meeting of the Association for the purpose of electing officers and transacting such other business as may properly be brought before the meeting, shall be held on the First Tuesday in May of each year, at such time and place as may be designated by the Executive comittee. Ten days’ notice of such meeting shall be sent. to each member of the Association bY the secretary .

Sec. 2. The President, at the written request of ten or more members stating the reason therefore, shall call a special meeting of the Association; ten days' notice of this meeting to be sent, by mail to all members. Only the business stated 1n the call for such special meeting, shall be transacted there at.

ARTICLE VII. ELECTION OF OFFICERS AND OF ADVISORY BOARD.
The election of offIcers and of the Advisory Board shall be by ballot unless otherwise directed, and the persons receiving the majority vote of the members present and voting, shall be declared e1ected. At, least two weeks before the annual meeting the President shall appoint a nominating committee of three members to report at said meeting.


ARTIcLE VIII. QUORUM.
Sec. 1. Fifteen members in good standing shall constitute a quorum for the transact1on of business a. any meeting.

ARTICLE IX. ORDER OF BUSINESS.
The regular order oF business shall be as follows:
1. Reading of Minutes of last MeetIng.
2. Reports of committees.
3. Election of Officers.
4. Election of candidates for membersHip.
5. UnfinisHed Business.
6. New business.
7.
8. Adjournment.

ARTICLE X. RULES OF ORDER .
The proceedings at all meetings of the AssoCiation shall be governed By Roberts' “Ru1es of Order”.

ARTICLE XI. AMENDMENTS.
All proposed amendments to these By-Laws shall be submitted in writing to the Committee, and if approved by said Committee, shall be acted upon at the next regular meeting of the Association, notice thereon having been previously sent to all members of the Association.

A two-thirds vote of he members present shall be necessary for their adoption.

All persons using the Library of this Association shall conform to such rules and regulations as may from time to time be adopted by the Library Committee.
